Welcome to CPG Canary. These Terms of Service ("Terms") govern your use of the CPG Canary platform, including the marketing site (https://cpgcanary.ai) and the application (https://app.cpgcanary.ai) (collectively, the "Service"), operated by Lloyd Labs LLC ("Company," "we," "us," or "our").

By accessing or using CPG Canary, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

CPG Canary is a commercial viability engine for CPG food and beverage products. The Service provides product intelligence, risk assessment, competitive positioning analysis, and strategic guidance through an initial analysis report and ongoing strategy chat.

Important: CPG Canary provides informational guidance only. It is not a substitute for professional legal, regulatory, financial, or business advice.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using CPG Canary, you represent that you meet these requirements.

3. Account Registration

To access the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activity that occurs under your account

• Notifying us immediately of any unauthorized access

Sharing credentials between individuals is prohibited. Each user must have their own account.

We reserve the right to suspend or terminate accounts that violate these Terms.

⚠ 4. Subscription and Payment

4.1 Pricing

Access to CPG Canary requires a paid subscription. Current pricing is available at https://cpgcanary.ai. We reserve the right to change pricing with 30 days notice to existing subscribers.

4.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for subscription fees. See Stripe's terms at https://stripe.com/legal.

⚠ 4.3 Free Trial

New subscribers may be offered a 14-day free trial. A valid payment method is required to start a trial. During the trial period, your payment method will not be charged. At the end of the trial, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial ends. Trial accounts are subject to usage limits as described in Section 4.6.

4.4 Billing Cycle

Subscriptions are billed monthly. Your subscription will automatically renew unless canceled before the renewal date.

4.5 Refund Policy

Due to the digital nature of this product and the immediate delivery of analysis services, all sales are final. If you experience technical issues that prevent you from using the Service, contact us and we will work to resolve them.

⚠ 4.6 Subscription Tiers and Usage Limits

The Service is offered in multiple subscription tiers. Each tier includes specific usage limits:

Trial: 1 product analysis, 10 strategy chat questions, dashboard access. Report exports (DOCX/JSON) are not available during the trial. ML feature extraction applies (see Section 7).

Starter ($99/month): 1 product analysis per billing cycle, unlimited strategy chat, DOCX and JSON exports, dashboard access, ML feature extraction, all single-product analysis modules. Portfolio Intelligence is not available on this tier.

Growth ($199/month): 3 product analyses per billing cycle, unlimited strategy chat, DOCX and JSON exports, dashboard access, ML feature extraction, all single-product analysis modules, plus full Portfolio Intelligence access (requires 2+ completed analyses).

Portfolio ($349/month): 6 product analyses per billing cycle, unlimited strategy chat, DOCX and JSON exports, dashboard access, ML feature extraction, all single-product and portfolio analysis modules, plus full Portfolio Intelligence access.

✨ Enterprise: Custom pricing, terms, and usage limits as defined in a separate Master Service Agreement. Enterprise subscriptions are not available through self-service signup and are governed by a separate Master Service Agreement ("MSA") between you and Lloyd Labs LLC. In the event of a conflict between these Terms and an Enterprise MSA, the MSA governs.

Usage limits reset at the beginning of each billing cycle. Unused allowances do not roll over. We reserve the right to modify usage limits with 30 days notice to existing subscribers.

ML Feature Extraction: All analyses, including those performed during the trial period, are subject to automatic feature extraction as described in Section 7.

4.7 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time.

5. Acceptable Use

You agree NOT to:

• Share your account credentials with others

• Use automated systems, bots, or scripts to access the Service

• Resell, redistribute, or commercialize analyses generated by the Service as a standalone product, except that subscribers may use analyses in the course of providing professional services to their own clients (e.g., consulting engagements, advisory work)

• Use the Service for any unlawful purpose

• Attempt to reverse-engineer, decompile, or extract the underlying algorithms, models, or data

• Interfere with or disrupt the Service or its infrastructure

• Misrepresent your identity or affiliation

  
  

We reserve the right to suspend or terminate access for violations of these terms.

⚠ 6. Intellectual Property

6.1 Our IP

CPG Canary, including its software, algorithms, machine learning models, case study database, user interface, and branding, is owned by Lloyd Labs LLC. You may not copy, modify, or create derivative works without our written consent.

6.2 Your IP

You retain full ownership of the product concepts, descriptions, and other information you submit to the Service. We claim no ownership over your inputs or the strategy reports generated for you.

⚠ 6.3 License to Use Your Inputs

By submitting information to the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Process your inputs to generate your analysis reports and strategy chat responses

• Extract numerical feature data from your analysis results to improve the accuracy of the Service's predictive models, as described in Section 7

  
  

This license does not grant us the right to share your original concept text, brand names, or proprietary descriptions with other users or third parties. The numerical features extracted are statistical representations that cannot be reverse-engineered to reconstruct your original concept.

⚠ 7. Data, Privacy, and Machine Learning

Your use of the Service is also governed by our Privacy Policy at https://cpgcanary.ai/privacy.

7.1 Data Protection

Key data protection commitments:

• Your analyses, chat history, and account data are stored securely on our servers to provide the Service, including features such as saved analysis history and strategy chat continuity

• Live submissions may be viewed by administrators solely for quality and safety monitoring

• We do not sell or share your personal data with third parties except as necessary to provide the Service (e.g., payment processing via Stripe, infrastructure hosting)

• You may delete your account and associated data by contacting us

  
  

✨ 7.2 Machine Learning Feature Extraction

When you submit a product concept for analysis, CPG Canary automatically extracts numerical features from your analysis results. These features are statistical representations (approximately 50 numerical data points including risk scores, pricing metrics, category indicators, and competitive density measures) stored as numerical vectors.

What is extracted: Numerical derivatives of your analysis outputs — scores, ratios, classifications, and statistical measures.

What is NOT extracted: Your original product concept text, brand names, proprietary formulations, trade secrets, or any free-text content you submitted. Feature vectors cannot be reverse-engineered to reconstruct your original concept.

✨ 7.3 Use of Feature Data for Model Training

CPG Canary uses extracted feature vectors, combined with independently sourced market outcome data, to train and improve predictive models. These models improve risk assessment accuracy for all platform users.

• Outcome labels (e.g., whether a product type historically succeeded or failed) are sourced independently by CPG Canary from public market data, trade publications, and industry reports — not from information you provide

• Trained models are used exclusively within the CPG Canary platform

• We do not sell, license, or share your feature data or derivative models with third parties

• We do not send your data to Anthropic, Perplexity, or any third-party AI provider for their model training

  
  

✨ 7.4 Your ML Data Rights

You have the following rights regarding your machine learning data:

• Access: Request a copy of feature vectors associated with your analyses. Email info@cpgcanary.ai.

• Deletion: Request deletion of your feature vectors from the training dataset. Email info@cpgcanary.ai.

• Opt-Out: Request that future analyses not be included in feature extraction. Email info@cpgcanary.ai.

• Explanation: Request a general explanation of how your data contributes to model training. Email info@cpgcanary.ai.

  
  

Deletion requests will be processed within 30 days. Deletion of feature vectors may not remove their influence from models already trained, but they will be excluded from all future training runs.

Opting out of feature extraction may limit the accuracy of certain predictive features in your reports.

✨ 7.5 Automated Decision-Making Disclosure

CPG Canary's machine learning models contribute to risk and viability assessments. These assessments are probabilistic tools provided for informational purposes only. They do not constitute professional advice and are subject to the limitation of liability provisions in Section 9.

⚠ 8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure

• Results will be accurate, reliable, or complete

• The Service will meet your specific requirements

• Machine learning predictions will accurately forecast market outcomes

  
  

Certain features rely on third-party data providers. We do not guarantee the continued availability of any specific data source.

CPG Canary provides directional guidance based on available data, pattern analysis, and machine learning models. We do not guarantee business outcomes.

⚠ 9. Limitation of Liability

9.1 Informational Purpose Only

CPG Canary provides market intelligence, risk assessment, and strategic guidance for informational purposes only. This information does not constitute:

• Legal advice

• Financial advice

• Regulatory compliance advice

You are solely responsible for validating all findings and making your own business decisions.

⚠ 9.2 Acknowledgments

By using the Service, you acknowledge that:

• Risk assessments are opinions based on pattern matching, machine learning models, and available data — not predictions of actual outcomes

• Regulatory information is subject to change and may not reflect current law in all jurisdictions

• Pricing and competitive data is derived from licensed third-party sources and may contain errors

• Market conditions change rapidly and past patterns do not guarantee future outcomes

• Machine learning model outputs are probabilistic and reflect patterns in training data, which may not capture all market dynamics

  
  

9.3 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLOYD LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue

• Failed product launches

• Regulatory penalties

• Business losses of any kind

• Decisions made in reliance on machine learning model outputs

  
  

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

⚠ 10. Indemnification

You agree to indemnify and hold harmless Lloyd Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any third-party rights

• Any business decisions you make based on information from the Service, including decisions informed by machine learning model outputs

  
  

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

If CPG Canary is discontinued entirely, we will provide at least 30 days notice to active subscribers. Prepaid subscribers will receive a pro-rata refund for any unused portion of their subscription.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Nebraska, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property violations or bring an individual action in small claims court if the claim qualifies.

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lloyd Labs LLC regarding the Service. Enterprise subscribers: in the event of a conflict between these Terms and your MSA, the MSA governs.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

Assignment: You may not assign these Terms without our consent. We may assign them freely in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
